Megaflips provides ecommerce platforms, programs, products, tools, systems, services, data, information and other offerings through which users can learn, teach, develop, communicate, mentor, and buy or sell Digital and Physical Products and Services in exchange for a fee to Megaflips Limited.

1. Preamble
Megaflips Limited provides THIS TERMS OF SERVICE (“AGREEMENT”) These Megaflips Limited Terms of Service comprise a legal agreement between YOU and Megaflips Limited and governs YOUR use of the Megaflips Service. Please read them carefully.

These Terms of service consist of the terms and conditions below, and incorporate and include:

• The Megaflips Privacy Policy;
• The Data Processing Addendum (“DPA”); and
• any other policies, procedures, and other guidelines that Megaflips posts on the Megaflips Service or otherwise makes available to YOU.

If YOU do not agree to any of these terms, do not use or subscribe to the Megaflips Service. If YOU do not agree to be bound by this agreement, YOU may not access or use this website or the services. If YOU are dissatisfied with any portion of the Megaflips Service, or with any of these terms of service or the additional terms, YOUR sole and exclusive remedy is to discontinue using the Megaflips Service and its related services and products.

Any rights not expressly granted herein are reserved by Megaflips.

2. Definitions
The term "Megaflips" “US,” and “WE” refers to Megaflips Limited

Any Internet Web sites and Web pages operated by Megaflips and its affiliates and of various products and services which are provided by Megaflips, its affiliates or third-party service providers. These Web sites, Web pages, products, and services, and any other associated mobile or web services or applications made generally available by Megaflips will be collectively referred to in this Agreement as the “Megaflips Service” or the “Services”.

The term “YOU” ”YOUR ” or “USER” refers to the individual or legal entity, as applicable, identified as the user when YOU registered for the Megaflips Service at https://megaflips.com/signup this include YOUR company, yourself, YOUR employees, and anyone who has access to use YOUR Megaflips; account.

The term “Product Listing” refers to any information about products, goods or services YOU upload on the Megaflips Service.

The term “Registered User” is a user who has registered an account through the Megaflips Service.

The term “Registration Data” refers to information about YOU as prompted by the registration form;

THIS WEBSITE AND THE INFORMATION ON IT ARE CONTROLLED BY Megaflips. THIS AGREEMENT GOVERNS YOUR USE OF THE WEBSITE, AND THE SERVICES, INFORMATION AND CONTENT AVAILABLE OR ENABLED VIA THE SERVICES.

BY SUBSCRIBING TO AND/OR USING THE Megaflips Service, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE, AS MAY BE MODIFIED FROM TIME TO TIME BY Megaflips IN ITS SOLE DISCRETION WITH OR WITHOUT PRIOR NOTICE.

3. Registration and Use of YOUR Account
In order to access features of the Megaflips Service YOU must become a Registered User. Megaflips may allow YOU to use a third party service, like Google, Facebook, or LinkedIn, to register for an Account.

In registering YOUR Account through the Megaflips Service, YOU agree

• That YOU are not a person previously barred from using the Megaflips Service;
• To provide true, accurate, current and complete Registration Data; and maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If YOU provide any information that is untrue, inaccurate, not current or incomplete, or Megaflips has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Megaflips has the right to suspend or terminate YOUR Account and refuse any and all current or future use of the Megaflips Service based on YOUR Registration Data.
• YOU agree not to create an Account or use Megaflips if YOU have been previously removed from the Services by Megaflips, or if YOU have been previously banned from Megaflips.
• YOU agree not to create an Account using a false identity or information, or on behalf of someone other than YOU.
• YOU agree that YOU shall not have more than one Account at any given time. Megaflips reserves the right to remove or reclaim any usernames at any time and for any reason, including but not limited to, claims by a third party that a username violates the third party’s rights.
• The data contained in YOUR account shall not give the impression that the actions performed by YOU in the course of running the Services, are made on behalf or under control of Megaflips
• YOU may not share YOUR Account or password with anyone. YOU are responsible for all activities that occur under YOUR Account.
• YOU agree to be fully liable for ensuring confidentiality and integrity of the password to YOUR account on the Megaflips Service and its non-disclosure to third parties.
• YOU also agree to be fully liable for any actions performed on the Megaflips Service with the use of YOUR account.
• YOU agree to monitor YOUR Account to restrict use by anyone less than 18 years, and YOU will accept full responsibility for any unauthorized use of the Megaflips Service by anyone to whom YOU have given access to YOUR password. YOU are solely responsible for maintaining the confidentiality of YOUR account information and monitoring usage of YOUR account. Megaflips is not responsible for the fraud of participants or other users of YOUR account.
• YOU agree to notify Megaflips immediately of any known or suspected unauthorized access to or use of YOUR account, YOUR password, the password of any individual user or any other breach of security or misuse of the Megaflips Service known to or suspected by YOU. YOU may change YOUR password at any time by following instructions on the Megaflips Service; and log out from YOUR Account at the end of each session.
• Megaflips reserves the right to deny in its sole discretion any user access to Megaflips or any portion thereof without notice. YOU are responsible for safeguarding the confidentiality of YOUR account information (including password(s) and user name(s) created or issued to YOU) and for any use or misuse of YOUR account or the Megaflips Service resulting from any third party using a password or user name issued to YOU.
• YOU hereby authorize Megaflips to rely on any data, notice, instruction or request furnished by YOU to Megaflips, or that Megaflips reasonably believes to have been furnished by YOU.

4. YOUR General obligations
By registering for or accessing the Megaflips website, or using the Services, YOU confirm and accept these terms and warrant and represent that

• No joint venture, partnership, employment, or agency relationship exists between YOU and Megaflips limited as a result of these terms of service or use of Megaflips. Therefore, YOU may not issue a claim to Megaflips in connection with the provision of the Services under the Terms for payment of salary, vacation pay, temporary disability (illness) allowance, pension and (or) social security benefit, medical service and (or) social assistance privilege, retirement pay or any other payments, benefits, guarantees and (or) compensations stipulated by the applicable labour laws. YOU hereby acknowledge that YOUR primary or secondary employment is not related to the provision of the Products, Goods and Services with the use of the Megaflips Service and that YOU agree to provide such Services at YOUR own risk.
• YOU and all users of the Megaflips Service approved by YOU are at least 18 years old or the age of legal majority in YOUR jurisdiction in accordance with the laws of the country of YOUR citizenship and the country of YOUR residence.
• YOU are of legal age to form a binding contract with Megaflips and YOU have the right, in accordance with the applicable laws, to enter into contractual relations under this AGREEMENT, and nothing restricts YOUR capacity to contract;
• if YOU are acting in a corporate capacity, YOU are authorized to bind YOUR company;
• YOU have the authority to enter into the agreement personally or on behalf of the company YOU have named as the user, and to bind that company to the agreement.
• YOU have the legal capacity and authority to enter into binding contracts for the sale and purchase of products, goods and services.
• YOU have read, understand, and agree to be bound by this agreement, and YOU have authority to bind YOUR self to these terms.
• YOUR use of the Megaflips Service signifies YOUR agreement to be bound by these terms each time YOU access the Megaflips Service.
• YOU comply with all applicable sanctions laws and regulations administered or imposed by YOUR Country, the United States, European Union (“EU”), and United Kingdom (“UK”), including, but not limited to, the US Department of Treasury’s Office of Foreign Assets Control (“OFAC”) regulations (31 C.F.R. Chapter V) (collectively, “Sanctions Laws”).
• YOU represent that neither YOU, nor any other person acting for or on YOUR behalf, is a person that is identified on OFAC’s Specially Designated Nationals and Blocked Persons List, the UK Consolidated List of Financial Sanctions Targets maintained by HM Treasury, the European Union Consolidated Financial Sanctions List maintained by the European Commission, or any other comparable list of persons subject to trade or financial restrictions and/or sanctions imposed or administered by the US, EU, or UK, or YOUR country (collectively, “Restricted Persons Lists”). YOU shall immediately notify Megaflips in writing of any breach of the foregoing representation or any other material change in fact that makes the foregoing representation no longer accurate;
• YOU shall not provide, in violation of Sanctions Laws, any goods or services to Megaflips under the Terms that are sourced in whole or in part, directly or indirectly, from a country or region embargoed or subject to substantial trade restrictions by the US, EU, UK, or YOUR country. In the event that YOU transact with an embargoed country or region, a person identified on the Restricted Persons Lists, or otherwise in violation of Sanctions Laws in its performance of these Terms, Megaflips may immediately terminate the Terms;
• The Megaflips Service may not be available for use in certain countries where Megaflips is not operating in.
• YOU agree to abide all applicable laws, codes, regulations, orders, rules, etc.;
• YOU agree that Megaflips is not restricting in any way YOUR right or ability to perform any services for others, YOU will not represent yourself to clients or anyone else as an employee or agent of Megaflips. YOU agree and acknowledge that YOU are an independent user on the Megaflips Service and will always represent yourself as such. YOU have no authority (and will not hold yourself out as having authority) to bind Megaflips, and YOU will not make any agreements or representations on behalf of Megaflips.
• YOU will not use the Megaflips Service for any purpose that is unlawful, or prohibited by these Terms of Service; All information supplied by YOU or by others using YOUR account is true and accurate, including information submitted as part of the registration process;
• Any goods, products or services advertised, sold or otherwise distributed by YOU on the Megaflips Service, on or in connection with YOUR Web Site are legal for sale or distribution; and YOU have all licenses necessary to sell or advertise the products goods or services offered for sale or distribution; and that all sales and advertisements will be in compliance with applicable law, rule, and regulation; and
• YOU own or control all of the intellectual property, proprietary and similar rights necessary for all YOU upload Product Listing on the Megaflips Service and for all material located on YOUR Web Site, all submissions, and all goods, products and services sold or otherwise distributed by YOU or on YOUR behalf via YOUR Web Site using the Megaflips Service.
• YOU represent, warrant and covenant that no materials of any kind submitted through YOUR account on the Megaflips Service will:
  • violate, plagiarize or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights; or
  • contain libelous or otherwise unlawful material. YOU hereby indemnify, defend and hold harmless Megaflips and all its officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the “Indemnified Parties”) from and against any and all liability and costs, including without limitation, solicitors’ fees incurred by the Indemnified Parties in connection with any claim arising out of any breach by YOU or any user of YOUR account on the Megaflips Service, of these terms and conditions or the foregoing representations, warranties and covenants. YOU shall cooperate as fully as reasonably required in the defense of any such claim. Megaflips reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by YOU.
• YOU shall not upload to, or distribute or otherwise publish on to the Megaflips Service any libelous, defamatory, obscene, pornographic, abusive, or otherwise illegal material. YOU agree that YOU will not threaten or verbally abuse other users, use defamatory language, or deliberately disrupt discussions with repetitive messages, meaningless messages or “spam”. YOU shall not, without the express approval of Megaflips, distribute or otherwise publish any material containing any solicitation of funds, advertising or solicitation for goods or services.
• YOU are solely responsible for the content of YOUR submissions. However, while Megaflips does not and may not review every submission and is not responsible for the content of these submissions, Megaflips reserves the right to delete, or block contents or submissions that is, in its sole discretion, deems abusive, harmful, unacceptable, defamatory, obscene, in violation of copyright or trademark laws, or otherwise unacceptable.
• YOU may not use a trade name or other descriptive term in connection with operating YOUR page or profile on the Megaflips Service that is confusing or misleading to participants or that may otherwise impersonate or deceive participants with respect to YOUR identity.
• YOU may not restrict or inhibit any other user from using and enjoying such user's rights to use the Megaflips Service.
• YOU may not interfere with or disrupt the Megaflips Service, Megaflips or its service providers' servers or any network connected to the Megaflips Service.
• YOU may not use the Megaflips Service or the products, goods or services provided through or in connection with the Megaflips Service to:
  • Rent, lease, license, grant a security interest in, or otherwise transfer or sublicense YOUR rights hereunder to any third party;
  • defame, libel, slander, impersonate, abuse, harass, threaten, invade the privacy of or otherwise violate or infringe the legal rights (including the rights of privacy and publicity) of any other person;
  • conduct, promote or forward illegal contests, lottery, unsolicited or unauthorized advertising, promotional materials, unsolicited e-mail (including "spamming") or multi-level or illegal marketing campaigns;
  • sell or distribute distribution lists, containing any personal information, including, without limitation, email addresses, home or work addresses, phone numbers, or any other identifying information whatsoever without the express contractual rights to provide such information;
  • sell, offer to sell, distribute, promote, facilitate, disseminate or link to any sites for marketing, sales, promotion, facilitation or distribution of: firearms; explosives; ammunition; liquor; tobacco products; illegal gambling; food that does not comply with all applicable laws for sale to consumers by commercial merchants; illicit drugs, pharmaceuticals and controlled substances; counterfeit, pirated or stolen goods; any goods or services that infringe or otherwise violate a third party's rights including copyright, patent, trademark, or rights of publicity or privacy; goods that are considered indecent; pornography; sexually suggestive, offensive, obscene or seditious information; political information, political symbol or political material; registered or unregistered securities; goods or services that YOU cannot legally sell; goods which are misrepresented or which do not in fact exist; fraudulent goods; goods or activities that if sold via any Megaflips Services or YOUR Web site would cause Megaflips to violate any law, statute or regulation; or any other illegal activity;
  • harvest or otherwise collect information about third parties, including e-mail addresses, without the express consent of such third parties;
  • violate any applicable government laws, rules or regulations;
  • sell or distribute any cryptocurrency;
  • publish, post, distribute, disseminate, advertise or link to any:
    • content, site, topic, name, material or information which is defamatory, libelous, slanderous, or infringing;
    • software, content or other material protected by intellectual property laws, copyright licenses, rights of privacy or publicity, or other proprietary rights, unless YOU own, or control such rights or have received all necessary consents for YOUR publication, distribution, or linking of such software and other materials;
    • software, content or other material that contains viruses, worms, corrupted files, cracks, Trojan horses, trap doors, back doors, Easter eggs, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information, or that may or are intended to damage the operation of or render inoperable another's computer, hardware, software, security measures or system or other programs written to defeat the security measures of any computer, system or programs;
    • software, content, other material or Web site that constitutes "hate speech", whether directed at an individual or a group, and whether based upon the race, sex, creed, national origin, religious affiliation, sexual orientation or language of such individual or group;
• YOU may not decompile, disassemble, reverse engineer, benchmark, or otherwise attempt to discover any trade secret contained in the Megaflips Service, or in any product, service or Software provided through the Megaflips Service. The information provided by Megaflips to YOU is proprietary in nature. YOU agree not to share any information provided to YOU by or on behalf of Megaflips with any third party.
• YOU shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit Megaflips or any portion of the Megaflips service or any subdomain thereof;
• YOU shall not frame or utilize framing techniques to enclose any trademark, logo, or other including images, text, page layout or form of Megaflips;
• YOU shall not use any metatags or other “hidden text” using Megaflips name or trademarks;
• YOU shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Megaflips Service;
• YOU shall not use any manual or automated software, devices or other processes (including, but not limited to, spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to “scrape” or download data from any web pages contained in the Website (except that WE grant the operators of public search engines revocable permission to use spiders to copy materials from the Website for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials);
• YOU will not access the Megaflips Service thereof in order to build a similar or competitive website, application or service;
  • except as expressly stated herein, no part of the Megaflips Service may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; and
  • YOU shall not remove or destroy any copyright notices or other proprietary markings contained on or in the Megaflips Service.

Any future release, update or other addition to the Megaflips Service shall be subject to the Terms of Service. Any unauthorized use of the Megaflips Service terminates the licenses granted by Megaflips pursuant to this agreement.

5. Limitations of Liability and Disclaimers
The Megaflips Service and ALL DOWNLOADABLE SOFTWARE are PROVIDED and DISTRIBUTED on an “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF COPYRIGHT, PATENT, TRADEMARK, OR OTHER RIGHT.

IN NO EVENT SHALL MEGAFLIPS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, INCLUDING ANY GENERAL, SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF YOUR USE OR INABILITY TO USE THE Megaflips Service OR FROM OTHER DEALINGS IN THE Megaflips Service.

Other users who sign up on the Megaflips Service can upload and sell information or materials or products, goods and services on the Megaflips Service, YOU acknowledge that such information and materials, or products, or goods and services may contain inaccuracies or errors and WE expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

Megaflips does not make any representations, issue warranties or undertake any commitments with regard to products, goods and services uploaded placed by any user or seller on Megaflips Service. WE do not guarantee that such products are accurate, reliable, current or error-free.

Megaflips makes no guarantees of any kind regarding the dependability, accuracy, security, timeliness or availability of the Megaflips Service, or such information, goods, materials, products or services.

Without limiting the foregoing, neither Megaflips, nor its respective suppliers, nor its service providers make any representations or warranties about the condition, suitability, reliability, availability, completeness, security, timeliness, or accuracy of the information, software, products, services and materials contained in the Megaflips Service for any purpose.

Because of the possibility of human and/or mechanical error, all such information, software, products, services and materials are provided "as is" without warranty of any kind. Megaflips, its respective suppliers, and service providers hereby disclaim all representations, warranties and conditions, express or implied, with regard to this information, software, products, services or materials, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement.

The information, software, products, services and other material included in or available through the Megaflips Service may not be complete, and may include inaccuracies or errors, and may also be modified, discontinued or deleted from time to time without notice.

Advice, information, products, services or other materials received via the Megaflips Service should not be solely relied upon for personal, medical, legal, business, financial or other decisions and is not intended to replace the advice of appropriate and qualified professionals. YOU acknowledge that YOU should consult an appropriate professional for specific advice tailored to YOUR situation.

IN NO EVENT SHALL Megaflips, ITS SUPPLIERS, OR ITS SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION: DAMAGES FOR LOSS OF USE, DATA, ACCOUNTS, REVENUES OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE Services OR RELATED SERVICES, OR WITH THE DELAY OR INABILITY TO USE THE Megaflips Service OR RELATED SERVICES;

THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE Megaflips Service; OR OTHERWISE ARISING OUT OF THE USE OF THE Megaflips Service, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF MEGAFLIPS, ANY OF ITS SUPPLIERS, OR SERVICE PROVIDERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

YOU are solely responsible for maintaining and backing up YOUR data and information that may reside on the Megaflips Service, hardware or server systems, including such software, hardware or server systems provided to Megaflips by third parties, whether or not such information is produced through the use of the Megaflips Service. It is YOUR sole responsibility to take the necessary steps to ensure YOUR primary means of business is maintained.

Megaflips will not be liable for any damage, loss or disclosure of data, accounts, revenue or business arising out of or otherwise related to:

• YOUR use of the Megaflips Service, its services or products;
• YOUR customers' use of YOUR Web site or YOUR information, products and services hosted by or created through the Megaflips Service;
• the use of the Megaflips Service by any other party to whom YOU have given access to YOUR company information for use on the Megaflips Service;
• errors, bugs, viruses, or other defects in the Megaflips Service;
• lost information (Including, without limitation, billing information, credit card numbers, lost orders, etc.);
• illegal or criminal activities committed by third parties, including but not limited to reliance on any information obtained on the Megaflips Service;
• or that result from mistakes, omissions, interruptions, deletion of files or e-mail, loss of or damage to data, errors, defects, viruses, delays in operation, or transmission, or any failure of performance, whether or not limited to acts of God, communications failure, theft, destruction or unauthorized access to records on the Megaflips Service, programs or services.

6. Indemnity
YOU agree to defend, indemnify and hold Megaflips and its suppliers harmless from and against any and all claims, losses, damages, liability costs and expenses (Including but not limited to attorneys' fees) arising from YOUR use of Megaflips Service Including, without limitation, YOUR violation of these Terms of Service, or any third-party's rights, (Including, without limitation, infringement of any copyright, violation of any proprietary right and invasion of any privacy rights). These obligations will survive any termination of YOUR relationship with Megaflips or YOUR use of Megaflips.

7. Third-party payment Processor
WE use third-party payment processors to process payments made to US and to YOU. YOU are responsible for paying the appropriate third-party payment processors charges, fees and taxes.

The use of a third-party payment processor by Megaflips will be subject to the terms of our Privacy Policy. Located at https://megaflips.com/privacy In connection with the processing of such payments, WE do not retain any financial information such as credit card numbers. Any personally identifiable information or any financial information provided by YOU to US is directly provided to our third-party payments processors, Paystack, Squadco and Flutterwave.

8. Links to Third Party Websites and Third party services
Links to websites other than those owned by Megaflips are offered as a service to users to provide further information. Megaflips is not involved in their production and is not responsible for their content. They do not signify that WE endorse the website(s). WE have no responsibility for the content of the linked website(s). YOU should direct any concerns regarding any external link to the site owner or Webmaster of such site.

The Service may include links or access to third-party tools, websites, systems or applications such as messaging platforms, content systems, or other software. WE use third-party software, applications, systems, tools and services to help US communicate with YOU and to provide the Megaflips Service. Some third-party services use links that exit the Megaflips Service. Megaflips is not liable or responsible for anything that happens outside of the Megaflips Service, websites, channels or systems.

9. Uploading Products to the Megaflips Service
1. If YOU upload a new Product Listing or edit and submit an existing Product Listing on the Megaflips Service, Megaflips will review the Product Listing and approve it for live viewing on the Megaflips Service if it meets the standard requirements for approval, (or) Megaflips may reject the Product Listing if it does not meet the standard requirements for approval.

2. If Megaflips rejects YOUR submitted Product Listing, Megaflips will notify YOU via YOUR registered email address and YOU can edit and resubmit the Product Listing. If YOU resubmit the Product Listing, Megaflips may decide to consider and approve the Product Listing or reject them again.

3. YOU can always communicate YOUR objections regarding each refusal to approve YOUR Product Listing. If Megaflips decides not to reconsider YOUR objections, Megaflips shall not inform YOU thereof and YOUR Product Listing will remain unapproved, YOU will not receive any compensation for this as YOU are an independent user and bear the financial risk over YOUR own Product Listing.

4. If YOUR Product Listing is reported or flaged by other users on the Megaflips Service as violating a trademark or as a copyright infringement, Megaflips has the right to suspend YOUR Product Listing and withhold part or all of YOUR payout. YOU may risk being banned completely from using Megaflips depending on the severity of the violation.

5. YOU may communicate YOUR objections (specifying the SKU of number of the suspended Product Listing) via email to compliance@megaflips.com within 7 calendar days from the date when the respective Product Listing have been suspended or within 7 calendar days from the date when YOUR account was banned. YOU agree that any objections communicated after the expiration of the 7 days’ term will not be considered. Provided that YOUR objections have been properly communicated, Megaflips may, but shall not be obliged to, consider the objections within 14 calendar days from the date when YOU have communicated YOUR objections.

6. YOUR approved Product Listing may stay in your active account on the Megaflips Service till YOU delete it, or until your listing subscription plan expires.

10. Selling YOUR Product Listing on the Megaflips Service
When YOU sell Product Listing on the Megaflips Service, YOU must provide all equipment and software necessary to connect to the Megaflips Service. YOU are solely responsible for any fees, including Internet connection or mobile fees, that YOU incur when accessing Megaflips services.

YOU agree to obtain at YOUR expense any authorizations, permits, certificates, licenses, patents, declarations, etc. and go through any registration procedure if such is necessary for YOU to be able to provide products, goods or services on Megaflips in accordance with the Terms and to use the Megaflips Service;

YOU represent and warrant that YOU have all the mandatory certificates, licenses and/or registrations that are required to operate as a provider or seller of YOUR Products, Goods and Services in YOUR applicable jurisdiction; and YOU are registered and act as an individual entrepreneur, freelancer, sole trader, self-employed person while YOU sell the Products, Goods and Services on the Megaflips Service.

YOU agree and undertake to provide your Products, Goods and Services in accordance with the requirements of the applicable laws, the provisions of this Terms of Service, the Privacy Policy and the terms of each individual Product Listing provided by YOU via the Megaflips Service.

YOU agree sell Products, Goods and Services that are of high-quality standards and consistent with any standard or specifications provided by Megaflips including to be accurate and within the deadlines. It shall be prohibited to provide or sell substandard Products, Goods and Services. On the Megaflips Service.

YOU understand that YOUR repeated failure to provide or sell high-quality standard Products, Goods and Services constitutes a breach of these Terms of Service.

Megaflips may (but in no case is obligated to) reserve the right to confirm the accuracy of YOUR Products, Goods and Services and other deliverables, and, in addition to Megaflips’s right to withhold payment in full or in part, to suspend YOU from posting Product Listings on the Megaflips Service or deactivate YOUR account based on YOUR breach of this section.

Megaflips may (but in no case is obligated to) provide monitoring, preliminary moderation, filter, delete any content and (or) results of YOUR Product Listing and (or) investigate into any breach of Megaflips’s rules applicable to YOU and (or) review complaints from and with respect to YOU and take appropriate measures.

YOU may use the Megaflips Web Site solely for the purposes specified in the Terms.

YOU may sell YOUR Product Listing in USD, GHS, KES, UGX, NGN, ZAR, GBP, or EUR currency on the Megaflips Service.

Megaflips may use third-party exchange rates converter websites such as https://www.xe.com/ to determine the best applicable currency conversion exchange rates equivalent for YOUR Product Listing price when sold in other currencies.

11. Account plan subscription
To Sell YOUR products, goods or services on the Megaflips Service, YOU need to subscribe to an account plan on the Megaflips Service. There are several account subscription plans from which YOU may choose, each account subscription plan features their respective prices, duration, and limits. See our pricing page for more details.

When YOU sign up on the Megaflips Service, WE offer YOU a free plan which YOU may use to sell YOUR Digital products, goods or services on the Megaflips Service, if YOU want to sell Digital products and advertise Physical products, YOU must upgrade from the free plan to any other higher suitable account subscription plan on the Megaflips Service.

When YOUR account subscription plan expires, YOU may not have access to create new Product Listing or to manage YOUR existing Product Listing on the Megaflips Service, YOUR product’s live viewing status will be changed from Online to Offline and customers may not be able to View YOUR Product Listing, Megaflips may not terminate your account so that YOU may pick up from where YOU stopped when YOU renew your account subscription.

YOU must renew YOU expired subscription immediately within 30-day grace period after which YOUR products may be deleted from the Megaflips Service.

YOU agree that if YOUR account in the Megaflips Service is inactive, your Product Listings will be turned offline and if your account is dormant for 30 (days) days in a row, YOUR account on the Megaflips Service Shall be deactivated, and YOU have no claims against Megaflips.

YOU agree to pay on time YOUR own expenses incurred by YOU for the purpose of obtaining access to the Megaflips Service and (or) selling or providing products or services via the Megaflips Service and (or) when withdrawing payments from YOUR account.

12. Account plan subscription fees
Megaflips shall charge YOU reoccurring account subscription fees to continue using the Megaflips Service. The amount of subscription fees may vary based on any selected account plan and duration of your choice. The amount of any fees may be revised by Megaflips from time to time with or without prior notice in our sole discretion. See our pricing page for the Megaflips Service subscription fees at https://megaflips.com/pricing

WE accept USD, GHS, KES, UGX, NGN, ZAR, GBP, EUR currency for purchasing account subscription fees on the Megaflips Service. YOUR financial transactions on the Megaflips Service may be subject to applicable currency conversion-related transaction fees and exchange rate changes which YOU shall bear.

YOU agree to pay for all reoccurring account subscription fees to continue using the Megaflips Service.

When YOU purchase any account subscription on the Megaflips Service, YOU agree that WE may charge your selected payment method, either directly or through the services of a third-party payment processor, for any such payments. Only those payment methods accepted by our third-party payment processor can be used to purchase account subscription fees through the Megaflips Service.

YOU are responsible for paying the appropriate third-party payment processors charges, fees and taxes.

13. Account Subscription Refunds, Upgrade and cancellations
WE reserve the right, but are not obligated, to refund fees paid to US for Account Subscription. Our policy for providing refunds, if ever, for any purchases made by YOU, is set forth in the Megaflips Refund Policy available at https://megaflips.com/refund and is incorporated into these Terms of Agreement. Megaflips may modify its refund policy at any time with or without specific notice to YOU.

14. Payouts and Commission fees for selling Product Listing on the Megaflips Service
When a Digital Product Listing YOU upload on the Megaflips Service generate sales and accrue revenue, following the successful order fulfillment of the Product Listing by the YOU, the remuneration amount set in the terms of the sales (hereinafter referred to as Payouts) shall be transferred to YOUR payout account details provided by YOU on the Megaflips Service within 24 hours, (or) no later than 48 hours for automatic Payout settlement.

Automatic Payout settlements are payout sent directly to your bank account with a payment system operator and/or a credit institution selected by YOU based on YOUR payout account details provided by YOU on the Megaflips Service.

Manual Payout settlement are settled directly to YOUR wallet balance on the Megaflips Service
For manual Payout settlement, Payouts will be reflected in your wallet on the Megaflips Service within 2 (two) days, (or) no later than 14 (fourteen) days depending on when Megaflips receive settlement from the third-party payment provider, after which YOU may transfer from YOUR wallet balance to a credit institution selected by YOU on the Megaflips Service.

WE only accept USD, GHS, KES, UGX, NGN, ZAR, GBP, EUR currency for settling payouts transactions on the Megaflips Service. YOUR transaction may be subject to applicable currency conversion-related transaction fees and exchange rate changes which YOU shall bear.

YOU Agree to Pay US 20% sales commission in full of each total sale value (product purchase price X product quantity) of all YOUR Product Listing sold, and in the value of the currency YOUR Product Listing is sold, if the product, goods or service is listed under Digital Product Category on the Megaflips Service. This may be subject to applicable currency conversion-related transaction fees and exchange rate changes based the amount settled by the bank or third-party payment processor.

YOU Agree that Megaflips will pay YOU 80% sales commission in full of each total sale value (product purchase price X product quantity) less transaction fees and transfer charges of all YOUR Product Listing sold, if the product, goods or service is listed under Digital Product Category on the Megaflips Service. This may be subject to applicable currency conversion-related transaction fees and exchange rate changes based on your preferred payout currency and based the amount settled by the bank or third-party payment processor which YOU shall bear.

Megaflips shall not accept payments or charge commission for Physical products advertised on the Megaflips Service. YOU cannot sell or accept online payments for Physical Product Listing on the Megaflips Service; YOU can only advertise Physical Products on the Megaflips Service.

If YOU believe there's an error in a Payment, promptly email Megaflips Support using the email address billing@megaflips.com. Failure to notify Megaflips of errors within 7 calendar days of the transfer to YOUR Payout account details on the Megaflips Service constitutes a waiver of claims and acceptance of the payment. Megaflips may choose not to consider inquiries submitted more than 7 calendar days after YOU initiate the Payment withdrawal procedure.

Where Manual Payout settlement is transferred to YOUR wallet on the on the Megaflips Service, YOU may withdraw money from YOUR wallet by using the details of a payment system operator or a credit institution selected by YOU (from among available ones), given YOUR successful identification in the corresponding payment system and (or) credit institution in accordance with the requirements of the operator of such payment system and (or) the credit institution and the applicable laws.

The Megaflips Service shall send a request for withdrawal of money from YOUR wallet on the Megaflips Service to the payment system operator or the credit institution selected by YOU after YOU initiate the withdrawal of the Payment amount from your wallet balance.

Payment shall be made in YOUR local currency by default or in YOUR preferred payout currency. If the payment system operator and/or a credit institution selected by YOU do not provide YOU with an opportunity to receive Payment in YOUR local currency (in accordance with the selected terms of use), YOU shall receive an amount in another currency selected by YOU in accordance with the terms of use of the respective payment system operator and (or) the credit institution based on the applied exchange rates and conversion dates

YOU understand that neither Megaflips nor any related entity is responsible for any foreign exchange fluctuation between local currency and the US Dollar or any timing issue that may affect the value of payments made to YOU.

Payment sums will be withdrawn from YOUR account on the Megaflips Service as per the rules, tariffs and rates set by the payment system operator and (or) the credit institution.

Megaflips bears no liability for complaints regarding actions and (or) omissions of the payment system operator and (or) credit institution that YOU have selected for the withdrawal of money from YOUR account on the Megaflips Service or other operations.

YOU agree that the payment system operator or credit institution selected by YOU may deduct commission fees and request additional documents when withdrawing Payment sums from YOUR account on the Megaflips Service.

Megaflips shall not bear any liability for tax deductions from Payment sums and any other money paid to YOU by the payment system or the credit institution that processed YOUR payment.

Megaflips shall not participate in the communication between YOU and the payment system or the credit institution that processed YOUR payment.

MEGAFLIPS ACCEPTS NO LIABILITY AND DOES NOT PROVIDE ANY REFUND WHATSOEVER TO ANY SELLER OF ANY AMOUNT INVOLVING ANY REFUND CLAIMS OR DISPUTES BETWEEN YOU AND THE PAYMENT SYSTEM OR THE CREDIT INSTITUTION THAT PROCESSED YOUR PAYMENT. YOU ARE TO DIRECT ALL CONCERNS REGARDING ANY REFUND CLAIMS OR DISPUTES BETWEEN YOU AND THE PAYMENT SYSTEM OR THE CREDIT INSTITUTION THAT PROCESSED YOUR PAYMENT TO THE PAYMENT SYSTEM OR THE CREDIT INSTITUTION THAT PROCESSED YOUR PAYMENT.

YOU Agree that YOU are responsible for Refunding your customers in full amount of their purchase if they report that they did not get any value for their purchases of YOUR products, goods and services or contributions to your donation campaigns.

MEGAFLIPS ACCEPTS NO LIABILITY AND DOES NOT PROVIDE ANY REFUND WHATSOEVER TO ANY BUYER OF YOUR PRODUCT IN ANY AMOUNT INVOLVING ANY REFUND CLAIMS OR DISPUTES BETWEEN YOU AND THE BUYER OF YOUR PRODUCTS, GOODS OR SERVICES.

YOU agree to pay all applicable social security contributions, insurance contributions and (or) taxes and submit all appropriate reporting forms to competent authorities.

15. Variations
WE may vary the cost of our services, payouts, including account subscription fees, payment methods and deferred payments s, or other fees from time to time, in our sole discretion

16. Taxes
Taxes include sales, use, value added, or transaction taxes and other government-imposed fees and charges. YOU are responsible for determining and paying the appropriate taxes resulting from a transaction occurring through the Megaflips Service. Megaflips is not responsible for collecting, reporting, paying, or remitting to YOU any such taxes, unless required by law.

17. Restricted Payouts to sellers on the Megaflips Service

• If YOU breach the requirements of these Terms, WE may refuse to accept YOUR Products Listing on the Megaflips Service, fully refuse to pay YOU for the Products Listing YOU sell and block YOUR account.
• YOU agree and undertake to reimburse Megaflips for all losses incurred by Megaflips as a result of YOUR invalid representations and warranties listed in this Agreement.
• Megaflips reserves the right to deem YOUR Products Listing provided as unsatisfactory and may, at it sole discretion, decline payment to YOU and or restrict the ability to use the Megaflips Service and or withdraw funds from YOUR account under the following circumstances:
  • If YOU did not deliver products, goods and services on time to customers who purchase YOUR products, goods or services on the Megaflips Service;
  • The Products Listing YOU offer have been provided under inappropriate content, improper conditions, or low quality (for example, there is a background noise in the record, no audio record is made, low sound quality, no video record is made, low video quality, blocked Web cam etc);
  • Megaflips concludes that the provided Products Listing fail to meet the set standards (if applicable) and (or) the terms of the Services, or the delivery of the Products Listing has been only partially fulfilled or not all of the set problems have been resolved;
  • The Products Listing is fulfilled upon the expiration of the term set by Megaflips in the terms of the Service;
  • YOU provided inaccurate or misleading or unreliable or incomplete data in YOUR account;
  • YOU did not provide Megaflips the requested information and/or documents;
  • Any breach of the Terms.

18. Purchasing Products, Goods or Services on the Megaflips Service
When YOU Purchase Products, Goods or Services on the Megaflips Service, YOU agree to pay for all products and services that YOU purchase through Megaflips, and YOU agree that WE or OUR third-party payment processor may charge your selected payment method for any such payments. Only those payment methods accepted by our third-party payment processor can be used to purchase products, goods, or services through the Megaflips Service.

WE DO NOT not accept payments or charge commission for Physical products advertised on the Megaflips Service. Sellers CAN NOT sell or accept online payments for Physical Product Listing on the Megaflips Service; Sellers CAN ONLY advertise Physical Products on the Megaflips Service.

When you add a physical Product Listing to YOUR shopping cart on the Megaflips Service, YOU will not be charged for physical Product Listing at checkout. YOU may use the information of the Physical Product Listing to only contact the seller of that physical Product Listing.

The only delivery methods available for physical Product Listing on the Megaflips Service is Pick-up-at-Shop and Pay at Delivery

IF YOU are interested in Purchasing any physical Product Listing advertised by a seller on the Megafips Service, YOU must go to the shop of the Seller in the physical location where the product can be seen, verified and confirmed by YOU that such product is in good working conditions before you commit yourself financially to purchase the product from the seller.

Another option is to get the seller to deliver the product to your doorstep where the product can be seen and confirmed by you that such product is in good working conditions before you commit yourself financially to purchase the product from the seller.

Do NOT pay any monies upfront to any seller for the purchase of any physical Product Listing advertised by any seller on the Megafips Service before physically meeting with the seller in person, or before seeing, and verifying or confirming that the physical Product Listing advertised by a seller on the Megafips Service in good working conditions acceptable by YOU,

Do NOT pay any monies upfront to any seller for the delivery of any physical Product Listing advertised by any seller on the Megafips Service. YOU accept and agree that doing so is at YOUR Sole risk.

Megalips Shall not be held liable for YOUR offline transactions and financial commitments between you and any seller on the Megaflips Service regarding the costs, price, purchase or delivery of any physical Product Listing advertised by any seller on the Megafips Service.

Buyers are therefore advised to make an adequate investigation regarding any physical Product Listing, item or product advertorial displayed on the Megaflips Service before committing themselves financially, all financial transactions between the buyer and seller is the sole responsibility of the buyer.

19. Checkout fees
Some products at checkout require that customers bear an additional checkout fees charged by the third-party payment provider as their transaction fees or charges. This transaction fees or charges may be added to the total amount due for a purchase and reflect it on the payment page of the third-party payment provider. If YOU do not agree to pay the transaction fees YOU may decline to proceed with the purchase.

20. Customer’s Refund, Claims and Disputes
MEGAFLIPS DOES PROVIDE ANY REFUND WHATSOEVER TO BUYERS WHO MAKE PURCHASES FROM ANY SELLER, AND MEGAFLIPS WILL NOT REFUND YOU OR YOUR CUSTOMERS OF ANY AMOUNT INVOLVING ANY REFUND CLAIMS OR DISPUTES BETWEEN YOU AND ANY SELLER ON THE MEGAFLIPS SERVICE

YOU ARE TO DIRECT ALL CONCERNS REGARDING ANY REFUND CLAIMS OR DISPUTES BETWEEN YOU AND THE SELLER TO MEGAFLIPS AND TO THE SELLER. MEGAFLIPS SHALL NOT PARTICIPATE IN THE COMMUNICATION BETWEEN YOU AND THE PAYMENT SYSTEM OR THE CREDIT INSTITUTION THAT PROCESSED YOUR PAYMENT.

21. Advertising or Featuring Sellers, Creators and Product Listing
WE may promote your page or Product Listing using the information YOU have uploaded, and YOU grant Megaflips a nonexclusive license to use YOUR Personal information in combination with YOUR Product Listing in any media in connection with Megaflips’s promotion. WE may feature, advertise or promote a Seller, Creators or Product Listing, but this is not a recommendation of such Seller, Creators or Product Listing. Megaflips makes no representations as to the quality of the Seller, Creator or Product Listing shown on the Megaflips service. When YOU opt-in to advertise your product on the Megaflips Service YOU will be required to pay the applicable advertising fees

22. Confidentiality
All information, to which YOU obtain access while using the Megaflips Service shall be deemed confidential, including: scientific and technical, industrial, financial, technological, and economic or other information, including, but not limited to, information security tools and identification / authentication, authorization, usernames, passwords, etc., statistical information, personal data, information about Megaflips and or Megaflips suppliers, products, services, etc., in any possible form whether oral, written, electronic, or other, to which there is no free access on a legal basis, as well as information, explicitly designated as confidential on the Megaflips Service.

YOU undertake not to disclose such information throughout the period of time while YOU have an account on the Megaflips Service and after YOUR account is deleted from the Megaflips Service, i.e. not to transmit, publishing it in whole or in part, report or grant access to at least one person who does not have legal access to such information in any possible form through oral, written, including using technical means to share such information across computers, electronic devices or in Internet e.g, posting videos or posting information on social networks, websites, etc.

YOUR obligation not to publish and (or) disclose to third parties any Personal Data YOU received access to during YOUR access to the Megaflips Service shall remain in force indefinitely. This obligation shall be valid, except in cases where YOU are required to disclose such information by the provider or owner of such information or in cases where YOU are required to disclose such information to public agencies upon request thereof in accordance with the requirements of the applicable laws.

23. Charges/Fees
Products and services available through or in connection with Megaflips require that YOU advertise products and pay Megaflips commission or otherwise pay a fee when using the Megaflips Service. YOU hereby authorize Megaflips to charge YOUR credit card for all applicable fees incurred by YOU or on YOUR behalf in connection with YOUR use of the Megaflips Service or for purchase of products or services that YOU have chosen to use.

YOU are solely responsible for all charges, fees, duties, taxes, and assessments arising out of any use of Megaflips by YOU or anyone else using YOUR account. Megaflips reserves the right to modify the fees charged for Megaflips products and services from time to time, by written posted on the website.

24. Customer Data
Megaflips will only use customer data in accordance with the Privacy Statement.

25. Customer Data Verification
As part of our Know Your Customer, KYC obligation, WE are required to verify the Identity of our customers. You must upload a government approved ID issued to you by the government of YOUR country, and any other necessary verification documents which we may request from YOU to complete your verification before YOU may be allowed to Sell information, products, goods and services on the Megaflips Service.

The ID YOU upload will be securely stored on servers in the United States via our third-party cloud storage providers and it will be used in accordance with OUR Privacy Statement.

26. Non-Disclosure
Please note that WE reserve the right to save any kind of data regarding the customer as provided to US when a customer chooses to use the Megaflips Service. The customer's data Including personal data will not be provided to third parties other than any other third party as the case may require under any applicable law or circumstance.

WE reserve the right to use customers' data for further contact with customer in any matter at our sole consideration, including matters as new offers, new campaigns, new policies, price reviews and services, etc.

WE may be entitled to inform relevant authorities of YOUR identity and activities on this site, and of any suspected unlawful, fraudulent or improper activity, and YOU oblige to cooperate fully with US to investigate any such activity.

Megaflips reserves the right to disclose any information, content, or materials as necessary to satisfy any applicable law, rule regulation, legal process, government request, in response to an allegation that YOUR material infringes the intellectual property rights of a third party or in any way violates any applicable law, rule regulation, or in accordance with Megaflips's Privacy Statement.

27. Software available by Third Parties via the Megaflips Service

Software, graphics, video, audio, logo, trademarks, data, information, products, creative and derivative works, goods and services (if any) that is made available to download by third parties via the Megaflips Service, (“Software”) is the copyrighted work of their respective owners, YOUR use of such Software is governed by the owner's Terms of Service, and the terms under their end user license agreement, if any, which accompanies or is included with the Software downloaded.

28. Software available on the Megaflips Service
Software, graphics, video, audio, logo, trademarks, data, information, products, creative and derivative works, goods and services (if any) that is made available to download from or otherwise use through the Megaflips Service, excluding Software that may be made available by third parties via Megaflips, (“Software”) is the copyrighted work of Megaflips and/or its licensors, suppliers, or service providers. YOU may not install or use any Software that is accompanied by or includes a License Agreement unless YOU first agree to the terms and conditions of the License Agreement. For any Software not accompanied by a license agreement, Megaflips hereby grants to YOU, the user, a personal, non-exclusive, non-transferable license to use the Software for viewing and otherwise using the particular Megaflips Service in accordance with these Terms of Service and for no other purpose. Any reproduction or redistribution of the Software is expressly prohibited and may result in severe civil and criminal penalties. Persons violating the foregoing, or who otherwise misappropriate any intellectual property or proprietary rights related to the Software may be prosecuted to the maximum extent possible.

WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCING THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED.

YOU acknowledge that the Software, and any accompanying documentation and/or technical information, is subject to applicable export control laws and international regulations. YOU agree not to export or re-export the Software, directly or indirectly, to any countries that are subject to export restrictions, as applicable.

YOU hereby acknowledge and agree that all intellectual rights with respect to the Megaflips Service, including but not limited to patents, designs, copyrights, trademarks and service marks, know-how, trade secrets, and right of a like nature, throughout the world, in any case whether registered or not, as well as any applications for any of these rights, shall belong to Megaflips.

31. YOUR License
The Services, and the information and content available on the Megaflips Service are protected by copyright laws. Subject to these Terms of Service, Megaflips grants YOU a limited license to use the Megaflips Service solely for YOUR personal non-commercial use. YOUR right to use the Megaflips Service is subject to these Terms. All other use is expressly prohibited.

32. Trademarks
Megaflips, the Megaflips logo, the Megaflips Service, any of the associated marks and other references are trademarks of Megaflips. and WE reserve all rights in them.

33. Termination Policy
Megaflips may terminate YOUR account, YOUR access to Megaflips or any of YOUR Megaflips Services (in whole or in part) at any time, with or without cause, and with or without notice.

YOU may be barred from accessing any of Megaflips Services or from using the Megaflips Service or from receiving any products, services or benefits from Megaflips if Megaflips determines YOU have violated these Terms of Service, if any representation or warranty made by YOU is untrue in any respect or if Megaflips receives a court order or other legal action relating to YOUR account.

In addition, if YOU violate any of these Terms of Service, YOU will not be entitled to the return of any revenue due with respect to any such terminated account service. YOU will forfeit all in-kind credits and any other amounts accruing to YOU (if any) in connection with the Megaflips Service and there will be no refund of any fees prepaid by YOU.

The termination policy posted at the time YOUR access to Megaflips Service was terminated shall govern the amount of the refund (if any) due to YOU.

Notwithstanding anything stated or implied in this Agreement, at any time, without prior notice to YOU and without derogating from our other rights under this Agreement,

WE may terminate YOUR access to the Website if WE suspect or believe that YOU are in breach of any of the terms and conditions of this Agreement, or that YOU may be engaging in or have engaged in fraudulent, unlawful, or improper activity, including without limitation any violation of rules and regulations.

WE reserve, at our discretion, the right to refuse any request by any legal entity to upload contents, participate, or benefit, in any way, from any opportunity that the site offers, including, but not limited to, the right to terminate, reschedule, postpone, rearrange, suspend, withhold, refuse, reserve, withdraw or even remove any of the services that is already booked or paid for by any such entity.

34. Conclusion
This Agreement shall be governed by, and construed in accordance with the laws of Nigeria. If any part of these Terms of Service is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Service shall continue in effect.

If moreover, any one or more of the provisions contained in this Agreement shall for any reason be held to be excessively broad as to duration, geographical scope, activity or subject, such provision shall be construed by limiting and reducing it, so as to be enforceable to the extent compatible with the applicable law as it shall then appear.

No delay or omission on the part of either party to this Agreement in requiring performance by the other party hereunder, or in exercising any right hereunder, will operate as a waiver of any right or rights hereunder.

Any and all representations and warranties, indemnification obligations, confidentiality requirements, intellectual property, applicable law, notice, and termination provisions, jurisdictional consents, and this Section shall survive the termination of the Agreement by either party for any reason.

Unless otherwise specified herein, these Terms of Service, and the Privacy Statement constitute the entire agreement between the user and Megaflips with respect to the Megaflips Service and they supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Megaflips with respect to the Megaflips Service.

The construction, validity and performance of this Agreement will be governed by the law. The English language version of this Agreement will prevail over any other language version issued by US. The illegality, invalidity or enforceability of any provision of this Agreement will not affect the legality, validity or enforceability of the remaining provisions of this Agreement.
